1. Scope of Services
The Provider offers professional services in the fields of Brand Strategy, Creative Direction, and Consulting. The scope of each engagement is defined in a separate proposal or agreement and may include strategic analysis, brand positioning, messaging development, creative concepting, visual direction, and advisory sessions.
2. Deliverables
All deliverables will be clearly outlined in the project proposal or agreement. Deliverables may include but are not limited to:
Brand Strategy Documents
Messaging Frameworks
Moodboards and Visual Style Guides
Campaign Creative Briefs
Consulting Reports and Session Summaries
Deliverables are provided in digital format (PDF, presentation, or editable files as agreed).
3. Payment Terms
A 30% deposit is required upon contract signing.
A 40% milestone payment is due upon delivery of the initial strategy draft (for large projects).
The remaining 30% is due upon final delivery.
Invoices are payable within 14 calendar days via bank transfer (IBAN).
Late payments may incur a 5% monthly interest charge.
4. Revisions and Scope Changes
Each project phase includes up to two (2) rounds of revisions.
Additional revisions or changes beyond the agreed scope will be billed at the hourly rate of €250–€350, depending on the service.
Any major scope changes must be agreed upon in writing and may affect pricing and timeline.
5. Intellectual Property
All intellectual property created during the project remains the property of the Provider until full payment is received.
Upon full payment, the Client receives a non-exclusive, non-transferable license to use the final deliverables for their intended purpose.
The Provider retains the right to showcase the work in portfolios, case studies, and promotional materials unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the project. This obligation remains in effect for two (2) years after the termination of the agreement.
7. Cancellation and Termination
Either party may terminate the agreement with written notice if the other party breaches a material term and fails to remedy it within 30 days.
If the Client cancels the project, the Provider is entitled to payment for all work completed up to the date of termination.
If the Provider terminates the project for valid reasons, all completed deliverables will be handed over, and any unused portion of the payment will be refunded.
8. Liability
The Provider commits to delivering services with professional care and diligence.
The Provider is not liable for indirect, incidental, or consequential damages, including loss of revenue or data.
Total liability is limited to the total amount paid by the Client under the agreement.
9. Governing Law and Jurisdiction
This agreement is governed by the laws of the Kingdom of Belgium. Any disputes shall be resolved through amicable negotiation. If unresolved, disputes will be submitted to the competent courts of Brussels.
10. Amendments
These Terms and Conditions may only be amended in writing and with mutual consent of both parties.
